1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Cemerlang Hub website at cemerlangad.pro and any consulting services provided by Cemerlang Hub ("we", "our", or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services.

Cemerlang Hub is a business consulting practice registered and operating in Malaysia, with its principal place of business at 36 Jalan Wong Ah Fook, 80000 Johor Bahru, Johor.

2. Use of Our Website

Permitted use

You may access and use our website for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any way that violates applicable Malaysian or international laws or regulations
• Transmit unsolicited communications or spam to us or other users
• Attempt to gain unauthorised access to any part of our website or associated systems
• Introduce viruses, malware, or other harmful code to our website

Website availability

We make reasonable efforts to keep our website operational, but we do not warrant that it will be continuously available or free from errors. We reserve the right to suspend or withdraw access to the website at any time without notice.

3. Consulting Services

Cemerlang Hub offers professional business consulting services to Malaysian businesses. Our current service offerings include Value Proposition Refinement, Operational Risk Assessment, and the Strategic Partnerships Accelerator programme. All services are delivered by or under the supervision of qualified consultants with relevant professional experience. The information and recommendations we provide constitute professional advice specific to your disclosed situation and should not be treated as universally applicable guidance.

4. Engagement Terms

Scope of work

Each consulting engagement is defined by a written scope of work agreed upon by both parties prior to commencement. Any work outside the agreed scope requires a separate written agreement or written amendment to the existing agreement.

Client responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate and complete information relevant to the engagement
• Make appropriate personnel available for scheduled interviews or working sessions
• Review and provide feedback on drafts and deliverables within the agreed timeframes
• Inform us promptly of any material changes to your business situation that may affect the engagement

Deliverables and timelines

We will use reasonable endeavours to deliver agreed outputs within the stated timeframes. Delays attributable to the client — including late provision of information or deferred review — may result in corresponding adjustments to the engagement timeline without penalty to Cemerlang Hub.

5. Payment & Fees

Fees for each engagement are stated at the time of agreement and denominated in Malaysian Ringgit (RM). A deposit of fifty per cent (50%) of the total engagement fee is payable prior to commencement, with the balance due upon delivery of final deliverables, unless otherwise agreed in writing.

Invoices are payable within fourteen (14) days of issuance. Late payments may be subject to a late payment charge of one per cent (1%) per month on the outstanding balance, applied from the due date until payment is received in full.

Fees quoted do not include applicable taxes. Any Goods and Services Tax (GST), Service Tax, or other statutory charge applicable under Malaysian law will be added where required.

Cancellation and refunds

If you wish to cancel an engagement after commencement, please notify us in writing. In the event of cancellation:

• Work completed up to the date of cancellation will be invoiced at our standard rates
• Any unused portion of a pre-paid deposit, after deduction of work completed, will be refunded within thirty (30) days
• Cancellation of an engagement within seven (7) days of the scheduled start date may result in the initial deposit being retained to cover preparation costs

6. Intellectual Property

Our intellectual property

All content on this website — including text, graphics, logos, layout, and code — is the property of Cemerlang Hub or its licensors and is protected by applicable Malaysian and international intellectual property laws. You may not reproduce, modify, or distribute any such content without our prior written consent.

Deliverables

Upon receipt of full payment for a consulting engagement, all bespoke deliverables produced specifically for your business are assigned to you. We retain the right to use anonymised methodologies, frameworks, and general insights derived from the engagement for the improvement of our services, provided no client-identifiable information is disclosed.

Any pre-existing tools, templates, frameworks, or proprietary methodologies that we bring to an engagement remain the intellectual property of Cemerlang Hub, even if incorporated into deliverables. You are granted a licence to use these within your organisation, but you may not resell or sublicense them.

7. Confidentiality

We treat all information shared with us during a consulting engagement as strictly confidential. We will not disclose your confidential business information to any third party without your prior written consent, except where required to do so by law or regulatory authority.

Similarly, we ask that you treat any proprietary methodologies, pricing structures, or internal materials shared with you during the engagement as confidential and not disclose them to third parties without our written consent.

These confidentiality obligations survive the termination or completion of any engagement and remain in effect for a period of five (5) years thereafter.

8. Limitation of Liability

Our consulting advice is based on the information you provide and our professional judgement at the time of engagement. We make no representations as to specific business outcomes, and outcomes may vary depending on factors outside our control.

To the fullest extent permitted by Malaysian law, our aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for any indirect, consequential, special, or punitive losses, including loss of profits or business opportunity, even if we have been advised of the possibility of such losses.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Malaysian law.

9. Termination

Either party may terminate a consulting engagement by providing written notice. Termination by the client is subject to the cancellation provisions in Section 5. Termination by Cemerlang Hub will be accompanied by a pro-rated refund of any pre-paid fees for work not yet delivered, unless termination is due to the client's breach of these Terms.

We reserve the right to discontinue access to our website and decline to engage with any party who has breached these Terms.

10. Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Malaysia. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Johor Bahru, Malaysia.

11. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be available on this page, with the "Last updated" date revised accordingly. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.
